Meet’n’Eat Limited

The founder of Meet’n’Eat was travelling in Japan when he realised that he would have liked to meet and eat with someone who shares his taste in food and other interests, without being on a date! He therefore created Meet’n’Eat!

Meet’n’Eat is as a social platform, the purpose of which is to connect you to your peers who want a particular type of food and company with whom you can meet and eat! Meet’n’ Eat markets restaurants, their menus and promotions and recommends them to its Users (‘Recommended Restaurants’) throughout London and elsewhere in the UK. The connections that you make on our App and Website are based on nationality, language and interest. We will connect you to a range of Recommended Restaurants which will allow you to book through us and meet other users (‘Users’) for breakfast, lunch or dinner (‘Service’).

PRELIMINARY

1. These terms and conditions apply to your use of the Meet’n’Eat website (‘Website’) and the Meet ‘n’ Eat mobile application (iOS and Android) (‘App’) and are provided to you by Meet’n’Eat Limited incorporated and registered in England and Wales with company number 10430528 whose registered office is at 8 The Lane, London, United Kingdom NW8 0PN (hereafter referred to us as ‘we’ or ‘us’ or ‘our’ or ‘Meet’n’Eat’).

2. Definitions:

(a) Terms and Conditions – means these terms and conditions that apply to our Website, App, the Services and all other services that we provide.

(b) Privacy Policy – means the privacy policy that applies to our Website, App, and all other services that we provide, and which is available at www.meetneat.co.uk. For the avoidance of doubt, the Privacy Policy forms a part of these Terms and Conditions.

(c) User – a user of the Website or App with a Meet’n’Eat Account.

3. We may change or amend these Terms and Conditions if we alter the existing services we provide, if we add new services to the existing services we provide, or for legal or other reasons. When we change the Terms and Conditions in a significant way, we will post a notification on our Website and the App with the updated Terms and Conditions. However, if you do not receive such notification, by continuously using our Website and App, you are deemed to have accepted the changed Terms and Conditions.

ELIGIBILITY

4. You should note that you must be at least 18 years old to create an account with Meet’n’Eat and use the Service. When you create an account with Meet’n’Eat (‘Meet’n’Eat Account’), you are deemed to have confirmed that:

(a) you are at least 18 years old;

(b) you are not a person who is prohibited from using the Service under the laws of England and Wales or any other jurisdiction;

(c) you agree to be bound by and you will comply with these Terms and Conditions and future revisions of or amendments to these Terms and Conditions;

(d) you agree to provide current, complete and accurate information in relation to yourself;

(e) you agree to keep your Meet’n’Eat Account updated in respect of your personal details and the information about yourself that you share with other Users;

(f) you do not have an unspent conviction and you are not subject to a court order relating to assault, violence, sexual misconduct or harassment;

(g) you intend to use the App and the Website only for lawfully.

USE

5. You agree that you will only use the Service, the Website and the App for lawful purposes. We do not permit you to use the Service, the Website or the App in any way that breaches or could potentially breach any applicable, local, national or international law or regulation or to send, knowingly receive, upload, download, use or re-use any material or content or endorse any material or content which does not comply with our applicable content standards set out in these Terms and Conditions or otherwise in the law of any jurisdiction. You also agree that you will not access without authority, interfere with, damage or disrupt the App or the Website or any network or equipment used in the provision of the Service.

TERM, TERMINATION AND LIMITATION OF LIABILITY

6. These Terms and Conditions will remain in full force and effect and you will be bound by them while you use the Service, the Website or the App. Please read these Terms and Conditions carefully before you start to use our Website, App and Service and please note that if you do not agree to these Terms and Conditions in whole or in part then you should not use our Website, App or Service.

7. You may terminate your Meet’n’Eat Account at any time by going into the ‘settings’ option on the App.

8. We shall be entitled to and may terminate your Meet’n’Eat Account at any time and for any reason. If we terminate your Meet’n’Eat Account, you may not use our Service again and we do not have to provide you with the reason as to why your Meet’n’Eat Account was terminated.

9. We shall be entitled to and may remove content from your Meet’n’Eat Account at any time and for any reason. If we remove content from your Meet’n’Eat Account, we do not have to provide you with the reason as to why your content was removed.

10. We may discontinue, change or suspend the Service or any part of it at any time, including hours of operation or availability with no notice to you.

11. Meet’n’Eat makes no representation or warranty to you of any kind regarding the content and availability of the Website, the App or the Service, by creating a Meet’n’Eat Account, you confirm that no such warranty is express or implied regarding the content or availability of our Services or that it will be free from defects or that any such defects will be corrected.

12. By creating a Meet’n’Eat Account, you agree that neither Meet’n’Eat nor any of its Recommended Restaurants shall have any liability to you for any direct, indirect, special or consequential losses or damages arising in contract, tort (including negligence) or otherwise arising from your use or your temporary or permanent inability to use the Website, App or the Service.

13. Notwithstanding the above, in the event that Meet’n’Eat or any of its Recommended Restaurants is found to be liable to you for any reason, the total aggregate liability of the Recommended Restaurant to you will be limited to the price that you paid for your meal in the relevant visit and the total aggregate liability of Meet’n’Eat to you will be limited to the membership fee that you have paid to use the Website or the App in the relevant month.

USERS

14. By creating a Meet’n’Eat Account, you understand and accept that Meet’n’Eat does not conduct criminal background checks on its Users. Meet’n’Eat does not verify the information and photos posted by its Users (both personal and other) and it does not give any warranties or representations as to the conduct of its Users or your compatibility with its Users.

15. By creating a Meet’n’Eat Account, you agree that you need to take all appropriate and necessary precautions in respect of your safety when communicating with and meeting other Users. You accept that there are risks involved with interacting with other Users online and offline and that you should always meet other Users in a public place.

16. You acknowledge and agree that neither Meet’n’Eat nor any of the Recommended Restaurants will be responsible for your experience with another User or Users at any of the Recommended Restaurants or otherwise.

INFORMATION AND CONTENT

17. Meet’n’Eat is not under an obligation to review the information and content posted on the App or the Website at any time (by both its Users and the Recommended Restaurants) and you agree that you are using the Services and accessing the Website and the App at your own discretion and risk.

18. In accordance with clause 9 above, Meet’n’Eat may delete any content posted by you in whole or in part at any time without notifying you.

19. By creating a Meet’n’Eat Account, you grant Meet’n’Eat a worldwide and royalty-free right to host, store, license, produce, use, copy and display, edit, modify and display the content that you post or otherwise share on the Website and the App. The licence that you grant by creating a Meet’n’Eat Account is for the limited purpose of operating and developing the Website, the App and the Service.

20. By creating a Meet’n’Eat Account you confirm that you will not post, create, share, transmit content via the App or Website that:

(a) infringes the intellectual property rights of any third party;

(b) contains an image of any other person who has not consented to such image being shared on the App or Website or is misleading, false or impersonates any other person;

(c) contains an image of someone who is under 18 years of age;

(d) promotes or encourages racism, bigotry, hatred or physical harm of any kind against any person or social group;

(e) is sexually explicit or obscene;

(f) is inaccurate or defamatory;

(g) is intended to or annoys, threatens, harasses or intimidates another user;

(h) disseminates the personal information of any other person without such person’s consent;

(i) provides information or data that you do not have the right to distribute;

(j) is inaccurate or untruthful;

(k) is intended to solicit money from other Users.

USER FEEDBACK AND COMPLAINTS

21. Meet’n’Eat values its Users and aims to provide the best possible service to you while you are using the App or the Website. If you wish to give us feedback or report another User for harassing or intimidating you via the Website or App or breaching these Terms and Conditions in any way then please send an email to info@meetneat.co.uk however, you should note that the most that Meet’n’Eat can do to stop the relevant User from harassing you is to deactivate that User’s Meet’n’Eat Account. Meet’n’Eat does not resolve disputes between Users and Users should consider using a mediation service to resolve disputes.

INTELLECTUAL PROPERTY RIGHTS

22. Meet’n’Eat is the owner of all intellectual property rights which appear on the Website and the App and those which do not appear on the Website and the App. The material published on the Website and the App and the material used to operate the Website and the App are protected by copyright laws. All such rights are reserved and you are not permitted to copy, reproduce, republish, download, post, broadcast, transmit, make available to the public, or otherwise use any content that belongs to Meet’n’Eat in any way other than for the use of the Website and App.

23. You should note that the Website, the App and the Services are intended solely for your personal non-commercial use. Any other use of the Website, the App or the Services requires the prior and specific written permission of Meet’n’Eat.

LINKS, PROMOTIONS AND PRICING

24. You will be asked to make payment for your use of the App or the Website when you create a Meet’n’Eat Account. Payment for your use of the Website or the App can be made by credit or debit card through our Service.

25. Where we are authorised to accept payment for bookings and/or promotions for the Recommended Restaurants through our Service, you will be asked to make such payment through the Website or the App at the time of booking. When you make such payment, you will be discharged of your obligation to make such payment to the relevant Recommended Restaurant. This clause shall be subject to the prices of meals, bookings and promotions being varied by the Recommended Restaurants and Meet’n’Eat will not accept any responsibility for or make up the shortfall for any such variation.

26. You agree that Meet’n’Eat is not responsible for the accuracy or inaccuracy of any of the prices or menus displayed on the Website or the App.

27. The menus, prices and promotions displayed on the Website or the App or any of the links to the websites of the Recommended Restaurants may be out of date or inaccurate and are subject to availability. Meet’n’Eat does not accept any responsibility for the content displayed on the website of the Recommended Restaurants or the content supplied to it for the Recommended Restaurants by the Recommended Restaurants or otherwise.

28. The relevant Recommended Restaurant that you use may offer you an alternative meal for any meal that it is unable to make for you. Please also note that the Website and the App will not ask you for any ingredients which you are allergic to and the Recommended Restaurants may use nuts in the preparation of their meals. We strongly advise that you contact the relevant Recommended Restaurant in advance of going there if you have an allergy. Meet’n’Eat does not guarantee that any of the ingredients used in the preparation of meals by the Recommended Restaurants are free from allergens and will not accept any responsibility for any reactions. In addition, the Recommended Restaurants will not serve alcohol to anyone who is under 18 years of age.

29. You acknowledge and agree that Meet’n’Eat is not responsible and will not accept any liability for the availability of the external links, websites and resources posted on the Website or the App. Meet’n’Eat also does not endorse the content, information and advertising available or shown on the Website and the App from time to time and Meet’n’Eat will not accept any responsibility for any loss or damage that may arise from your use of them or your reliance on them.

30. You acknowledge and agree that your correspondence, dealings and participation in promotions with the third parties and Recommended Restaurants shown on the Website and the App including cancellation policies of the Recommended Restaurants and any booking or other fees are solely between you and the third parties and the Recommended Restaurants. Meet’n’Eat does not act as an agent or partner of such third parties or the Recommended Restaurants.

INDEMNITY

31. By creating a Meet’n’Eat Account, you accept these Terms and Conditions and therefore agree to indemnify Meet’n’Eat, its subsidiaries and associates, and their officers, workers, agents, contractors, sub-contractors and employees against all loss, claim, liability, demand, legal costs made by any third party due to your breach or failure to comply with these Terms and Conditions and Meet’n’Eat’s privacy policy (including any breach of your representations and warranties contained therein).

32. In the event of a potential claim (which includes the threat or notification of a claim), claim or demand from a third party, Meet’n’Eat reserves the right to have conduct and control of such potential claim, claim or demand subject to indemnification by you, and you agree to co-operate with Meet’n’Eat in connection with any such potential claim, claim or demand.

ASSIGNMENT

33. Meet’n’Eat may be acquired at any time in whole or in part by another entity. This will be done without prior notice to you.

BREACH

34. If you breach these Terms and Conditions, and we take no action against you, we will still be entitled to use our rights and remedies in any other situation where you breach these Terms and Conditions or take delayed action against you for breaching these Terms and Conditions.

35. If any part of these Terms and Conditions is disallowed or found to be void by any court or regulatory body or a change in the applicable law or regulations, the other provisions will continue to apply and we will adjust these Terms and Conditions as necessary, in which case the invalid terms will be replaced by valid terms that differ the least from the invalid terms concerned.

LIMITATION OF LIABILITY AND EVENTS OUTSIDE OF OUR CONTROL

36. You agree that no party shall be held liable for any delay or non performance of these Terms and Conditions which arise from a cause that is beyond its control, such causes shall include but shall not be limited to acts of God, governmental acts, war, fire, flood or explosion.

37. By creating a Meet’n’Eat Account, you agree to these Terms in Conditions in whole and you agree that in no event will Meet’n’Eat, its affiliates, officers, employees, agents, partners and licensors be liable for any loss or damage suffered by you whatsoever, whether financial or other, whether direct or indirect, general, special, specific, compensatory or incidental arising out of the conduct of yourself or any other User or anyone else in the use of the Website, the App or the Services including (but not limited to) bodily injury, emotional distress, loss of business or profits, trade secret misappropriation, intellectual property infringement, and/or any other damages resulting from you communications with and meetings with other Users or persons that you meet through the Website or the App or resulting from the Services or any other service that we provide.

38. You hereby agree to hold Meet’n’Eat harmless from any loss caused by any instruction, advice or service delivered through the Website or App.

39. You hereby agree to hold Meet’n’Eat harmless from any claims or losses in respect of:

(a) your inability to use the Website, App or the Service temporarily or permanently;

(b) unauthorised transmission or use of your content or personal information;

(c) your reliance on information, content and data made available to you by us on the Website or App;

(d) any other matter relating to the Website, App or the Service.

40. Nothing in these Terms and Conditions shall exclude or limit Meet’n’Eat’s liability for fraudulent misrepresentation or for death or personal injury resulting from Meet’n’Eat’s negligence or the negligence of Meet’n’Eat’s employees or agents.

ENTIRE AGREEMENT

41. You acknowledge and agree that these Terms and Conditions form the entire agreement between you and Meet’n’Eat for your use of the Website, the App and the Services and these Terms and Conditions supersede all prior agreements, arrangements and understandings between you and Meet’n’Eat relating to your use of the Website, the App and the Services.

JURISDICTION AND APPLICABLE LAW

42. The courts of England will have exclusive jurisdiction over any claim arising from, or related to use of the Service, the Website and the App. These Terms and Conditions and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed and construed in accordance with the laws of England and Wales.
